30-day terms. 1.5% monthly late interest. Services may be suspended for non-payment.
Both parties protect confidential information for 5 years post-termination.
Capped at fees in prior 12 months. No indirect or consequential damages.
Services "as is." All implied warranties disclaimed.
30-day notice. Immediate for material breach uncured within 15 days.
PRC law. CIETAC arbitration in Kunming, English.
